1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of services provided by Digi Technoledge Solutions Pvt. Ltd. (“Company”, “we”, “us”, or “our”). By using our website or engaging our services, you agree to these Terms, our Privacy Policy, and any additional agreements communicated during onboarding.
These Terms comply with:

2. Definitions
- Client / User: Any individual or organization that uses our website or services
- Services: Our digital and creative offerings (development, SEO, hosting, branding, etc.)
- Deliverables: Final outputs like websites, designs, and login credentials
- Subscription: Recurring service packages billed monthly, Quarterly or annually
- Account Panel: Client dashboard (https://ctipl.co) for managing domains, Hosting, Email services etc. (if purchased separately)
3. Scope of Services
We are a full-stack digital agency offering a wide range of technology-driven and creative services, including:
- Custom website development (static, dynamic, and e-commerce)
- Web and mobile application development
- Domain registration and Web hosting
- Business email setup and support
- SEO and digital marketing (organic + paid)
- Graphic design and branding (logos, brochures, business cards)
- Social media content creation and ad campaign management
- White-label development solutions for agencies (under NDA)
- Subsidized packages for NGOs and eligible startups
- Monthly, quarterly, annual subscription plans for our services & support
Our services are packaged and priced as fixed-price solutions. We do not offer itemized billing. Clients using their own hosting or domain still pay the same package fee.
4. Client Onboarding
- You will receive a formal proposal or quotation outlining the scope of work, timeline, pricing, and terms.
- Services begin only after full advance payment.
- All important discussions and change requests must be made via email, not WhatsApp or verbal calls. Only email communication is considered legally valid.
- Once the project is confirmed and started, change requests may lead to additional charges or revised timelines.
- Once the project is confirmed and started, any delays caused by the client may result in additional time being required, as initially outlined.
- Any extra service requests from the client that fall outside the scope of the agreed package will incur additional charges.
5. Deliverables & Source Code
We provide clients with a complete, functional website as part of a comprehensive package that includes domain registration, hosting, SSL, design, development, graphics, and content. & support.
A. Source Code & Backend Access
We do not provide source code, design files, cPanel access, FTP credentials, or any form of backend/server-level access to clients. All websites are delivered as fully hosted, managed solutions.
Ownership of all backend source code, configuration files, frameworks, scripts, and proprietary logic remains with us. Clients are granted usage rights to the live website as long as they remain under an active service agreement.
B. No File Downloads for Static or Dynamic Sites
Whether the website is static, dynamic, or e-commerce-based, no downloadable files, code packages, or editable assets will be shared with the client unless specifically agreed upon in a separate Source Code Release Agreement, which may involve additional terms and costs.
C. Intellectual Property Protection
Unauthorized copying, redistribution, reverse-engineering, rehosting, or use of our code or systems is strictly prohibited and will be treated as a violation of intellectual property law.
D. Violations may result in:

6. Domain & HostingPolicy
6.1. Domain Policy:
- You own your domain and may request transfer or auth codes any time (after dues are cleared).
- If your domain expires and is deleted due to non-renewal, you will be responsible for restoration charges, if applicable.
- We provide standard domain services such as .com, .in, .co.in, etc. Any request for a special or premium domain will incur additional charges, which will be borne by the client.
- Domain redirection services will be provided at an additional cost, in accordance with our standard service fees.
- The transfer of a domain from another registrar to our panel will incur extra charges.
- Once the project is live on a specific domain, any subsequent domain changes will be subject to additional charges, as they involve updates to all associated links and resources.
6.2. Hosting Policy:
- Our fast and reliable hosting is managed by our experts. We do not host our files or code on third-party servers or hosting platforms, as it falls outside our support capabilities and areas of specialization.
- Hosting not renewed within 30 days of expiration will be permanently deleted with no backup recovery. It is the client's responsibility to ensure timely renewal.
- Hosting credentials are not shared unless explicitly included in your package. Any access requests outside of the agreed terms may incur additional charges.
- If your hosting account exceeds the allocated resources (e.g., bandwidth, disk space, etc.), additional charges may apply. We will notify you before any overage occurs.
- If the hosting account is used for activities that violate our terms of service (e.g., illegal content, spamming, etc.), the account may be suspended without notice, and additional charges may be incurred to restore service.
- Any third-party integrations or services (e.g., third-party email, external APIs, etc.) used with the hosting services are not our responsibility and may incur additional charges for troubleshooting or support.
- While we aim to maintain 99.9% uptime, we shall not be held liable for any downtime resulting from external factors, including but not limited to server crashes, technical faults, browser cache issues, ISP-related disruptions, or other unforeseen circumstances. Scheduled maintenance may occasionally impact service availability.
7. Dashboard & Account Access
- Login details for domain, email, and hosting services (if purchased separately) will be provided privately and securely via email.
- Once the login credentials are provided, it is the client’s sole responsibility to ensure the confidentiality and security of this information.
- Sharing login credentials with third parties is strictly prohibited. The company will not be held liable for any issues, damages, or losses arising from unauthorized access or the sharing of login credentials by the client."
8. Subscription Services
We offer structured, prepaid subscription plans to ensure uninterrupted delivery of long-term digital services. These plans are designed to provide consistent support, maintenance, and performance optimization across multiple digital assets.
8.1. Scope of Subscription Plans
Our subscription services may include, but are not limited to:
- Website maintenance, security monitoring, and technical support
- Domain registration, hosting, periodic renewals, and data backups
- Business email setup, configuration, and renewal services
- SEO, digital marketing campaigns, and ongoing performance reporting
8.2. Billing and Payment Terms
- All subscription plans are strictly prepaid and may be billed on a monthly, quarterly, or annual basis, as agreed in writing.
- Subscription fees must be paid in full prior to the commencement or renewal of the service period.
- Non-payment or delay in payment may result in suspension or termination of the subscribed services without further notice.
8.3. Refund & Cancellation Policy
A. No refunds or credits will be issued for:
- Partial or unused services
- Mid-cycle cancellations by the client
- Failure to utilize services during the subscribed term
- Subscriptions are non-transferable and non-refundable, unless otherwise mandated by applicable law or agreed in a separate written agreement.
8.4. Renewals and Continuity
- Clients are responsible for ensuring timely renewal of their chosen subscription plan.
- We shall not be liable for any service disruption, data loss, or adverse impact resulting from non-renewal or delayed renewal.
9. Payment & Invoicing Policy
To ensure lawful and transparent financial transactions, the following payment and invoicing terms shall apply:

We accept payments exclusively through the following authorized channels:
- UPI (Unified Payments Interface)
- NEFT / RTGS (Bank Transfers)
- Debit and Credit Cards
- Verified Online Payment Gateways
9.2. Invoicing Procedure
- A Proforma Invoice shall be issued in advance for all payments due.
- Upon full payment, a GST-compliant Tax Invoice will be provided for the services rendered.
- No service shall commence unless full payment is received in accordance with the agreed terms, unless otherwise specified in writing.
9.3. Authorized Payments Only
All payments must be made solely in favor of “Digi Technoledge Solutions Pvt. Ltd. ”. The company has not authorized any third party, agent, intermediary, or individual to collect payments on its behalf under any alternate name or account.
Any payment made to unauthorized persons or entities shall be at the sole risk of the payer. We shall not be liable for any resulting loss, fraud, or damages in such circumstances.
9.4. Official Communication
All financial documentation—including service quotations, proforma invoices, and final tax invoices—shall be issued exclusively from our official company email addresses (e.g., info@digitechnoledgesolutions.com). Clients are advised to verify the authenticity of all correspondence prior to making any payments.

10. Cancellation & Refunds
01 This policy applies to all services and digital products purchased from Digi Technoledge Solutions Pvt. Ltd. , including:
10.1. Cancellation Requests
- Cancellations must be made within 24 hours of payment, and only if project work has not yet begun or services have not been provisioned.
- All cancellation requests must be submitted in writing from your registered email to support@digitechnoledgesolutions.com.
- Verbal, WhatsApp, or phone-based cancellations are not valid.
10.2. Refund Eligibility
If your cancellation request is eligible and approved:
- A. Refunds will be processed after deduction of applicable charges, including:
- A ₹5,000 administrative charge
- Third-party service costs (e.g., domain registration, Google Ads, emails, SSL, plugins, licenses)
- Payment gateway charges (if paid via Razorpay, Paytm, etc.) — typically 1.5% to 3.5%, depending on the platform
Example: If a client makes an online payment of ₹10,000 and the gateway charges 2%, ₹200 will be deducted before issuing the refund.
10.3. Non-Refundable Scenarios
Refunds will not be issued under the following conditions:
- After third-party tools, domains, emails, or subscriptions have been activated
- On partially used services or ongoing monthly retainers
- For services rendered in good faith based on your instructions
- In cases of abuse, policy violations, or false claims
- If the project is delayed due to lack of client response or communication
10.4. Additional Standard Terms
- Change of mind or dissatisfaction not backed by valid proof or contractual expectations does not qualify for a refund.
- If services were provided as per the agreed scope but performance is impacted by third-party platforms (Google, Facebook, hosting, etc.), no refund shall be provided.
- Refund claims must include full transaction details, screenshots, payment ID, and date of service.
- In case of chargebacks or disputes filed via banks, the client forfeits eligibility for a direct refund.
10.5. Refund Processing Timeline
- Approved refunds are processed within 7 to 10 working days.
- The refund will be credited using the same mode of payment, unless otherwise agreed in writing.
- Digi Technoledge Solutions Pvt. Ltd. is not responsible for delays caused by banks or third-party payment processors.
10.6. Company’s Rights
- We reserve the right to refuse service or terminate contracts if abuse, illegal content, or breach of agreement is detected.
- All refunds are granted at the sole discretion of the company, and our decision shall be final and binding.
11. Project Timeline & Modifications
11.1. Service Activation:
Project work will begin within 24 to 48 hours after full payment has been received. A dedicated Customer Support Executive will be assigned to your project to ensure effective communication and smooth progress.
11.2. Project Timeline:
Upon receiving all the necessary and complete information from your side, we will deliver the project within 2 to 3 working weeks. The actual timeline may vary depending on the complexity and specific requirements of your project.
11.3. Changes & Modifications:
All change or modification requests must be submitted in writing via your registered email address.
We do not accept requests made via WhatsApp, phone calls, or verbal communication, to maintain clarity, proper documentation, and accurate implementation.
11.4. Implementation of Changes:
Once changes or modifications are received via email, our support team will evaluate them and communicate the estimated time required for implementation.
Please note, the minimum turnaround time for any modification is 2 to 3 working days, depending on the nature and extent of the edits.
12. SEO & Marketing Disclaimer
We provide professional, ethical, and data-driven SEO and digital marketing services in accordance with industry standards and Google’s Search Essentials (formerly Webmaster Guidelines). By engaging our SEO or digital marketing services, you acknowledge and agree to the following terms:
12.1. Our Commitment
We deliver customized strategies designed to improve online visibility and search performance over time. Our services may include:
- In-depth keyword research and on-page SEO optimization
- Technical SEO audits and issue resolution
- High-quality, white-hat link-building practices
- Strategic content planning and content optimization
- Performance monitoring and periodic reporting
12.2. Disclaimer of Guarantees
While we aim for the best possible outcomes, clients expressly acknowledge that we do not guarantee:
- A #1 ranking or first-page placement on Google, Bing, Yahoo, or any other search engine
- Specific keyword rankings, organic traffic volumes, or lead generation targets
- A fixed return on investment (ROI) or ad campaign performance metrics
- Immediate or short-term results, especially in highly competitive markets
Search engine results are influenced by numerous factors beyond our control, including algorithm updates, competitor activity, user behavior, and changes in third-party platforms.
12.3. Ethical Practice Commitment
We strictly adhere to white-hat SEO practices and do not engage in or support any of the following:
- Use of private blog networks (PBNs)
- Link schemes, paid backlinks, or spammy directory submissions
- Keyword stuffing or hidden text techniques
- Auto-generated, low-value, or plagiarized content
- Cloaking, doorway pages, or any manipulative SEO tactics
Engaging in such practices can lead to penalties, de-indexing, or permanent ranking loss. We prioritize sustainable growth and long-term brand integrity over short-term manipulation
13. Social Media & Ads
13.1. Scope of Services
We shall provide the following services in relation to social media campaigns and advertising, subject to the conditions set forth herein:
- Campaign Setup, Management, and Optimization: We will handle the setup, management, and optimization of advertising campaigns across the platforms agreed upon.
- Audience Targeting and Segmentation: We will perform audience targeting and segmentation to ensure your campaigns reach the appropriate demographics.
- Creative Design: We will provide creative design services for advertisements, including up to three (3) revisions. Any additional revision requests will incur additional charges.
- Content Creation for Brand Awareness: We will primarily focus on creating content aimed at enhancing brand awareness for the Client’s products or services. This will include regular posts and campaigns, and may extend to national celebrations such as Republic Day, Independence Day, Diwali, Eid, Christmas, and other similar events. If the client requires content for specific religious or culturally unique posts outside our usual scope, they must inform us in advance. We will make reasonable efforts to accommodate such requests, but if we are unable to fulfill them, we will notify the client accordingly.
13.2. Revisions and Additional Charges
- Included Revisions: As part of the service, the Client is entitled to a maximum of three (3) revisions to the creative designs or campaign materials.
- Additional Revisions: Any additional revisions beyond the three (3) included revisions will be subject to additional charges, which will be communicated and agreed upon prior to undertaking the work.
13.3. Performance and Results Disclaimer
- No Guarantee of Results: We make no guarantees regarding fixed results, including but not limited to impressions, clicks, conversions, or revenue, as these results are influenced by numerous factors that are beyond our control. These factors may include but are not limited to platform algorithm changes, audience behavior, market conditions, and third-party actions.
13.4. Cultural and Religious Content
- Content Creation for Special Occasions: We will focus on creating content aimed at brand awareness, including posts for major national celebrations. However, should the Client request content related to specific religious or culturally unique events or occasions outside our standard scope, the Client must inform us in advance.
- Reasonable Efforts to Accommodate: We will make reasonable efforts to accommodate such requests within our creative and operational capabilities. However, if for any reason we are unable to fulfill these specific requests, we will inform the Client promptly and discuss possible alternatives or adjustments.
13.5. Control and Responsibility
- Agency Control: The agency (us) will have full control over the design, execution, and optimization of the campaigns as per the agreed scope. We will act in the Client's best interest to maximize the effectiveness of the campaigns.
- Client's Responsibility: The Client shall be responsible for providing accurate and complete information, necessary assets (e.g., logos, images, videos, brand guidelines), and approvals in a timely manner to ensure the success of the campaigns. Failure to do so may delay or impact the effectiveness of the campaigns.
13.6. Limitation of Liability
While we will exert our best efforts in managing and optimizing the campaigns, we cannot be held liable for any damages, losses, or lack of expected outcomes resulting from the campaigns, as these are contingent on factors outside our control, including but not limited to third-party platform changes, consumer behavior, or other external factors.
14. Email Services Policy
- We do not support or create cPanel-based email services. If email hosting is required, it must be purchased directly through us. For any email-related services not purchased from us, please contact your email service provider for support.
- If you share a domain with us for hosting your website, please be aware that your email services may be temporarily affected during domain setup, server updates, or other technical configurations.
- In the event of a domain transfer, your email services may be temporarily disrupted due to changes in nameservers or the transfer process. We are not responsible for any disruption in email services that occur as part of this process.
- You are fully responsible for managing and safeguarding your email account data, credentials, and access. We do not have access to your email accounts and will not log in or make changes to your email services under any circumstances.
- While we strive to provide seamless email services, certain issues such as DNS propagation, server updates, or configuration changes may lead to temporary disruptions. We are not liable for any email service issues that arise from these factors.
- We do not provide configuration or integration services for email addresses within the Client's internal systems, software, or email platforms.
15. Data Backup Policy
We prioritize the security of your data, but it is important to note that data protection is a shared responsibility.
- Internal Backups: We perform weekly backups for all hosted websites.
- Client-Generated Data: While we store website data, the Client is responsible for backing up any data generated through their website or ads, including but not limited to leads, inquiries, and orders.
- Exclusions: We disclaim responsibility for any data loss caused by the following circumstances:
- Malware or cybersecurity breaches
- Expired or inactive hosting accounts
- Plugin failures or system conflicts
- Errors arising from third-party services or platforms
16. Prohibited Projects
We maintain strict guidelines regarding the types of websites and businesses we engage with. We do not offer services or support for websites or businesses that involve:
- Pornography or adult content
- Gambling, betting, or related activities
- The creation or distribution of deepfakes or the unethical use of artificial intelligence
- Fraudulent or misleading product listings
- The sale or distribution of illegal pharmaceuticals
16.1. Violation of this policy will result in the following actions:
- Immediate termination of services, without prior notice
- No refund for any paid fees
- Potential legal action under applicable Indian cyber laws, including but not limited to the Information Technology Act, 2000 and relevant provisions for cybercrimes
17. Website Credit
Every website developed by us will include the following line in the footer:
"© [Year] [Client Name]. All Rights Reserved. Developed & Managed by Digi Technoledge Solutions Pvt. Ltd. "
This credit is mandatory and reflects our role in delivering and maintaining your digital presence.
18. Non-Solicitation Agreement
Clients agree and acknowledge that, during the term of any project and for a period of twelve (12) months following the completion or termination of any services provided by us, they shall not, directly or indirectly:
- Solicit, hire, engage, or attempt to hire or engage any employee, contractor, or freelancer associated with Digi Technoledge Solutions Pvt. Ltd. for employment, contract work, or freelance opportunities, whether full-time, part-time, or on a project basis.
- Induce or attempt to induce any such individual to terminate or breach their contractual relationship with us.
18.1. Consequences of Violation
In the event of a breach of this clause, the client agrees to the following remedies, without limitation:
- Immediate termination of all ongoing services and cancellation of any service agreements.
- Legal action to seek injunctive relief and recovery of damages, including but not limited to loss of business, recruitment costs, and reputational harm.
- Compensatory penalties, the amount of which shall be determined based on the nature and extent of the violation.
19. Client Responsibilities
To ensure a professional, secure, and productive working relationship, clients of Digi Technoledge Solutions Pvt. Ltd. agree to adhere to the following responsibilities:

Clients shall use all services provided by us. in full compliance with applicable laws, regulations, and ethical standards.

Account Security
Clients are responsible for maintaining the confidentiality and security of login credentials, API keys, and access information. Sharing access with unauthorized third parties is strictly prohibited.

Prohibited Content
Clients must not upload, transmit, or distribute any content that includes:
- a. Malware, viruses, or malicious scripts
- b. Phishing attempts or deceptive practices
- c. Hate speech, violent content, or discriminatory material
- d. Inaccurate or misleading information (e.g., fake news)
- e. Spam, bulk unsolicited messages, or deceptive advertising

Professional Conduct
Clients are expected to maintain respectful, clear, and professional communication with all employees, freelancers, and representatives of Digi Technoledge Solutions Pvt. Ltd.

Timely Feedback & Cooperation
Clients agree to provide necessary materials, approvals, and feedback in a timely manner to avoid delays in project delivery.

Payment Obligations
Clients shall ensure timely payments as per the agreed terms. Late payments may lead to service suspension or additional charges.

Third-Party Licenses and Content
Clients are responsible for obtaining necessary permissions or licenses for any third-party content (e.g., images, fonts, videos) provided for use in their projects.
19.2. Violation of Responsibilities
Failure to comply with the above responsibilities may result in:
- Immediate suspension or termination of services
- Loss of access to project files or platforms
- Forfeiture of payments made, with no refunds applicable
- Legal action, if applicable, in cases involving breach of law or contractual obligations
20. Limitation of Liability
We are committed to delivering high-quality services and solutions. However, certain circumstances and outcomes are beyond our control. As such, we shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to:
- Business losses, including loss of revenue, profits, contracts, customers, or data
- Unmet marketing expectations or goals, including lead generation, conversions, or return on ad spend
- Errors, delays, or issues resulting from client-provided content, instructions, or third-party materials
- Service interruptions or downtime caused by external platforms or providers such as Google, Meta, hosting companies, email services, or other third-party vendors
20.1. Additional Notes
- • We do not guarantee specific results, including search engine rankings, traffic volumes, conversions, or other performance metrics, unless expressly stated in a written agreement.
- • Our maximum liability, if proven, shall not exceed the total amount paid by the client for the specific service in question over the previous 30 days.
- • Clients are encouraged to maintain backups and take appropriate safeguards for critical business operations.
21. Dispute Resolution
We value transparent, honest, and professional communication. In the event of any disagreement or concern, the following procedures shall apply:
- Initial Complaint Submission
All complaints, concerns, or disputes must be submitted in writing via email to our official support or account management team. The client must include all relevant details to facilitate a fair review of the issue.
- Good Faith Resolution Effort
Upon receiving the complaint, we will make every reasonable effort to address and resolve the matter professionally and in good faith through open communication with the client.
- Jurisdiction and Legal Venue
If a resolution cannot be reached through informal communication, the dispute shall be subject to litigation and resolved exclusively in the courts of New Delhi, India, under the jurisdiction of Indian law.
- No Third-Party or Competitor Arbitration
We do not recognize or permit arbitration initiated or influenced by third parties, competitors, or agencies acting on behalf of another party. Any such attempts shall be considered invalid and non-binding.
22. Force Majeure
We shall not be held liable for any delay, interruption, or failure to perform its obligations under this agreement if such delay or failure results from circumstances beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters (e.g., floods, earthquakes, storms)
- Acts of war, terrorism, or civil unrest
- Cyberattacks, data breaches, or malicious intrusions
- Failure or disruption of third-party platforms or services (e.g., Google, Meta, hosting providers)
- Government actions, legal restrictions, changes in applicable law or regulations
- Pandemics, lockdowns, or public health emergencies
- Power outages, internet failures, or telecommunications disruptions
23. Modification of Terms
We reserve the right to modify, amend, or update these Terms and Conditions at any time, at our sole discretion. Any changes will be effective immediately upon posting the revised version, which will be reflected by the updated “Effective Date” noted at the top of the document.
By continuing to access or use our website or services after any such modifications, you acknowledge and agree to be bound by the most current version of the Terms. It is your responsibility to review these Terms periodically for any updates or changes.
